So-Creative Limited t/a Eventwizz – Website & Platform Ownership Terms

1. Overview

This website, stockbrookevents.co.uk (“the Website”), and all associated booking and event-management functionality are developed, operated, and licensed by So-Creative Limited (t/a Eventwizz) (“So-Creative”, “Eventwizz”, “we”, “our”, “us”).

The Website is published on behalf of Stock Brook Manor (Golf Club) Limited (“the Client”), which operates the venue and manages all customer relationships, bookings, and payments.

By using this Website, visitors (“Users”) acknowledge that:

• So-Creative Limited is the technical service provider and system owner, not the venue operator.
• All commercial and booking arrangements are between Users and the Client only.
• So-Creative Limited accepts no liability for venue services, bookings, payments, cancellations, or disputes.

2. Intellectual Property Ownership

All source code, design, structure, databases, APIs, booking flows, integrations, and derivative works forming part of this Website and the Eventwizz platform remain the sole and exclusive property of So-Creative Limited.

The Client and Users are granted a limited, non-exclusive, revocable licence to access and use the Website for its intended purpose.

No ownership rights are implied or granted.

Reproduction, copying, modification, reverse-engineering, resale, or redistribution of any part of the Website or platform is strictly prohibited without prior written consent from So-Creative Limited.

3. Ownership and Transfer

Ownership of the Website, or any portion thereof, is non-transferrable.

All rights, title, and interest in the Website, platform, and underlying systems remain with So-Creative Limited t/a Eventwizz at all times.

The Client receives a usage licence only for the duration of their active service agreement.

So-Creative Limited retains full ownership and control, including the right to suspend, restrict, or revoke access in the event of non-payment, breach of terms, or misuse.

4. Proprietary Systems (Including Eventwizz)

The Website is powered by proprietary systems developed by So-Creative Limited, including the Eventwizz booking and event-management platform, dashboards, and integrations.

These systems are licensed for use on this domain only.

No duplication, resale, white-labelling, or integration with other services is permitted without written consent.

5. Relationship Between Parties

• So-Creative Limited acts solely as the technology provider and data processor (where applicable).
• Stock Brook Manor (Golf Club) Limited acts as the merchant, data controller, and contracting party with customers.
• Users enter into a direct contractual relationship with Stock Brook Manor (Golf Club) Limited when making enquiries, reservations, or payments.

So-Creative Limited has no involvement or responsibility for:

• Bookings, cancellations, refunds, or disputes between the Client and its customers;
• Pricing, promotions, or contractual terms offered by the Client;
• Any representation or warranty made by the Client on this Website;
• Financial compliance, AML/KYC duties, or tax obligations of the Client.

6. Payments and AML Responsibility

All payments made through or in connection with this Website are collected directly by Stock Brook Manor (Golf Club) Limited or its authorised payment processor.

So-Creative Limited does not handle or store payment information and bears no responsibility for AML, PCI-DSS, merchant, or refund compliance.

All financial and regulatory responsibilities rest solely with the Client.

7. Data Processing and Privacy

So-Creative Limited may act as a data processor under the Client’s instruction for operation of forms and booking tools.

Customer data submitted through this Website is controlled by the Client and handled according to their published Privacy Policy.

So-Creative Limited does not use, sell, or disclose such data except as required for technical operation or by law.

8. Service Availability and Liability

While So-Creative Limited takes reasonable steps to maintain Website uptime and security, service continuity is not guaranteed.

So-Creative Limited disclaims all warranties and accepts no liability for downtime, loss of data, indirect losses, or reliance on information displayed on behalf of the Client.

Use of the Website is entirely at the User’s own risk.

9. Indemnity

The Client agrees to indemnify and hold harmless So-Creative Limited, its officers, and staff from any claim, loss, or expense arising from:

• The Client’s business activities, bookings, or representations;
• Failure to comply with legal, financial, or regulatory obligations;
• Content or materials supplied by the Client.

10. Termination and Suspension

So-Creative Limited may suspend or terminate Website access or hosting where:

• Fees remain unpaid;
• Terms are breached;
• Security or reputational risks are identified.
  Upon termination, all licences immediately cease and the Client must discontinue use of all So-Creative systems and assets.

11. Jurisdiction

These Developer Terms are governed by English law.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11a. Ownership Structure

The EventWizz booking system and all related technology are developed and owned by So-Creative Ltd (UK) and operated internationally by Wizz Events & Web3 Solutions LLC (UAE) under an exclusive licensing arrangement. Both entities collectively retain full rights to the EventWizz platform and all associated intellectual property.
